Corporate and company law have been among the core competencies of our firm from the outset. Ferdinand Graf heads a strong team that provides comprehensive advice to companies and their governing bodies on all corporate and company law issues – from formation and ongoing advice to liquidation: literally “from the cradle to the grave”.
Our clients include domestic and foreign companies from a wide range of industries, including global conglomerates, small and medium-sized enterprises and larger investors.
We assist our clients in corporate transactions and restructurings, such as capital increases, mergers, de-mergers and transformations – also in a cross-border/multi-jurisdiction context. Our team recently advised LUKOIL on cross-border restructurings and capital measures, helped the publicly-listed Andritz Group on the de-merger and merger of group subsidiaries and counselled Hubert Burda Media on the acquisition of the Austrian and Swiss medical platforms Netdoktor.at and Netdoktor.ch.
A strong focus of our work in recent years has been the handling of corporate disputes – both before state courts and in arbitration proceedings. For example, we represented the French/Belgian DEXIA Group in a dispute arising from the nationalisation of Kommunalkredit. A particular strength lies in the coordination of our expertise in corporate law, dispute resolution and insolvency regulations.
